By accessing or using SOQDraft ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including firm administrators, team members, and trial users.
2. Description of Service
SOQDraft provides AI-assisted proposal intelligence tools for architecture, engineering, and construction firms, including bid-fit scoring, SOQ generation, SOQ evaluation, and competitive positioning analysis. The Service is provided on a subscription basis.
3. Account Registration
You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Subscription and Billing
Paid subscriptions are billed monthly in advance. You authorize SOQDraft to charge your payment method on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We offer a 60-day money-back guarantee for new paid subscribers.
5. Your Content
You retain ownership of all content you upload to SOQDraft, including RFQ documents, project descriptions, staff profiles, and generated SOQs. By uploading content, you grant SOQDraft a limited license to process that content solely to provide the Service. We do not use your firm's data to train AI models.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Submit fraudulent or fabricated qualifications in government proposals
- Attempt to reverse-engineer or extract the underlying AI models
- Resell or sublicense access to the Service without written permission
- Upload content that infringes on third-party intellectual property rights
7. AI-Generated Content
SOQDraft generates content using large language models. You are solely responsible for reviewing, editing, and approving all AI-generated content before submission to any agency or client. SOQDraft makes no warranty that generated content is accurate, complete, or suitable for submission. All final proposals are your firm's responsibility.
8. Limitation of Liability
To the maximum extent permitted by applicable law, SOQDraft shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including lost profits, lost proposals, or data loss. SOQDraft's total liability shall not exceed the amount you paid in the twelve months preceding the claim.
9. Termination
We reserve the right to suspend or terminate your account for violations of these Terms or for conduct that we determine, in our sole discretion, to be harmful to the Service or other users. Upon termination, your right to access the Service ceases immediately.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
